1. Acceptance of Terms

By accessing or using DealerInt (“Service”), operated by DealerInt Inc. (“Company”, “we”, “us”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

DealerInt is a B2B SaaS platform providing dealership-wide decision intelligence, including behavioral analytics, decision event capture, reporting, and insights. The Service includes a web dashboard, Chrome extension, and APIs.

3. Acceptable Use

You agree not to: (a) use the Service for any illegal purpose; (b) circumvent security, access controls, or usage limits; (c) resell or sublicense the Service without written consent; (d) use the Service to monitor individuals without their knowledge where prohibited by law; (e) upload malicious code or attempt to disrupt the Service.

4. Data Ownership & Usage

You retain ownership of all data you submit. We process data solely to provide the Service and as described in our Privacy Policy. We do not sell your data. We may use anonymized, aggregated data for product improvement.

5. Surveillance Disclaimer

DealerInt is designed for operational decision transparency, not employee surveillance. It captures decision events (e.g., pricing overrides, approvals) with mandatory reason capture. You are responsible for ensuring use complies with applicable labor and privacy laws in your jurisdiction, including notice and consent requirements.

6. SLA & Uptime

We target 99.5% uptime for paid plans. Scheduled maintenance will be communicated in advance. See our SLA document for details.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS”. WE DISCLAIM ALL WARRANTIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

You may cancel at any time via the Billing section. We may suspend or terminate access for breach of these Terms or non-payment. Upon termination, you may export your data for 30 days.

9. Refund Policy

Refunds are available within 14 days of initial payment for annual plans, prorated for unused months. Monthly plans are non-refundable. Trial periods are free and require no payment.

10. Governing Law

These Terms are governed by the laws of Delaware, USA. Disputes shall be resolved in Delaware courts. For India-based customers, arbitration under Indian law may apply.

11. Changes

We may modify these Terms with 30 days’ notice. Continued use after changes constitutes acceptance.
